1. User and Creator Roles

Aloportal provides services to two primary types of users:

Both Users and Creators must comply with all applicable terms outlined in this agreement, including content policies, conduct expectations, and applicable laws. Aloportal reserves the right to suspend or terminate accounts that violate these Terms of Service.

2. Platform Services and Data Storage

Aloportal provides Creators with the ability to store and manage various types of content and data. Users and Creators are solely responsible for managing, securing, and ensuring compliance with applicable laws regarding the content they store, share, and process on the Platform. The Platform allows storage and management of:

Creators are responsible for ensuring the security, privacy, and integrity of their stored data, including implementing necessary safeguards, encryption, and access controls as needed. Aloportal does not guarantee the protection, availability, or security of stored content and is not responsible for any data loss, unauthorized access, or security breaches.

By using the Platform, Users and Creators acknowledge that their stored data may be processed for platform enhancements, AI-driven services, and analytics tools. Creators are responsible for ensuring that their stored content complies with Privacy Policy, Data Protection Guidelines, and applicable laws.

3. Limitations of Use

By using this website and application, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

4. Content Distribution, Moderation, and Restrictions

The Platform ensures legal content distribution and promotion while complying with applicable regulations regarding digital content. Aloportal reserves the right to remove, restrict, modify, distribute, or terminate content at its sole discretion, without notice, for any reason, including but not limited to violations of these Terms of Service, compliance requirements, business decisions, or any other reason deemed necessary by Aloportal.

Creators are expected to ensure compliance with content restrictions, including age-appropriate labeling where required. The Platform may use, distribute, analyze, or modify Creator content and data to enable AI-driven services, including content recommendations, moderation, analytics, and any other Platform-related functionality.

The Platform provides international access, and content must comply with applicable laws in regions where it is accessed. Content may contain sensitive material such as R-Rated content, nudity, and explicit material. Users acknowledge and consent before accessing such content, and parental controls may be enforced where applicable.

Aloportal reserves the right to regulate, restrict, or remove any content at its sole discretion. The Platform does not tolerate prohibited content including illegal content, hate speech, copyright-infringing materials, deceptive content, and non-consensual content.

Creators must own or have legal rights to the content they upload. Unauthorized copyrighted content will be removed, and repeat violations may lead to account termination. Aloportal retains the sole authority to determine the appropriateness of content on its Platform.

5. Payment Processing and Subscription Plans

Aloportal integrates with Stripe, PayPal, and other payment processors for transactions. Users and Creators acknowledge that payment transactions are subject to the terms and conditions of these third-party payment providers, and Aloportal has no control over their policies, fees, or decisions regarding funds.

Aloportal subscription plans are subject to changes without prior notice regarding pricing, features, and offerings. Subscriptions may automatically renew unless canceled by the user before the renewal date.

Creators are responsible for handling tax obligations, invoicing, and compliance with local tax regulations regarding earnings received through the Platform. Aloportal does not provide tax advice.

6. Creator and Public Affiliate Program

Creators can activate an affiliate program for their pages and set commission rates for Users who refer new subscribers or customers to their content. Users can participate in a public affiliate program, earning commissions based on successful referrals, subject to Aloportal's policies. Participation in the affiliate program is subject to eligibility criteria, and Aloportal reserves the right to approve, reject, or remove affiliates at its sole discretion.

Commission rates, tracking mechanisms, and payout terms may vary depending on the Creator's program structure and Aloportal's policies. Affiliates must comply with applicable advertising laws, disclosure rules, and Aloportal's promotional policies. This includes properly disclosing affiliate relationships, avoiding misleading advertisements, and adhering to ethical marketing practices.

Commissions are tracked through unique referral links and cookies. Tracking attribution is determined based on the Platform's designated model (e.g., last-click attribution), and Aloportal does not guarantee commissions if a referred user does not complete a purchase through the tracked link. Cookies may have an expiration period, and commissions are subject to adjustments for refunds, chargebacks, or fraud detection.

Payouts are processed on a scheduled basis, subject to minimum payout thresholds and payment processing times. Affiliates are responsible for any applicable taxes on their earnings. Aloportal reserves the right to adjust commission rates, change payout policies, or terminate the affiliate program at any time without prior notice. Fraudulent activities, including self-referrals, artificial traffic generation, spamming, and misleading marketing, are strictly prohibited. Aloportal may withhold commissions, terminate affiliate accounts, or take legal action against users who engage in fraudulent or deceptive practices. Aloportal retains the right to modify, suspend, or discontinue the affiliate program at any time for business, legal, or operational reasons.

7. User-Generated Content and Subscriptions

Users can subscribe to Creators on the Platform and gain access to exclusive content, services, or other offerings as determined by the Creator. Users agree to comply with the terms and conditions set by the Creator, in addition to these Terms of Service. Creators determine the pricing, features, and availability of their subscriptions.

Subscriptions may be subject to auto-renewal unless canceled by the User before the next billing cycle. Users are responsible for reviewing the subscription terms and managing their own cancellations through their account settings.

Refunds and disputes are handled on a case-by-case basis. Aloportal does not guarantee refunds for Creator subscriptions or digital content and is not responsible for non-delivery of Creator services. Users must contact the Creator directly for any disputes, and in cases of unresolved issues, Aloportal may intervene at its sole discretion but is not obligated to do so.

User-generated content remains the intellectual property of the respective Creators, but by uploading content, Creators and Users grant Aloportal a worldwide, perpetual, irrevocable, royalty-free license to use, store, modify, distribute, publicly display, promote, and sublicense their content for operational, promotional, and analytical purposes.

Aloportal may use Creator content for advertising, AI model training, and improving Platform features without requiring additional approval or compensation. Aloportal reserves the right to remove, restrict, or modify user-generated content at its sole discretion for any reason, including violations of policies, intellectual property infringement, legal compliance, or business needs.

Users and Creators must comply with all applicable laws, intellectual property rights, and community standards when uploading or sharing content. Aloportal does not endorse, verify, or assume responsibility for the accuracy, legality, or reliability of content posted by Creators.

Users access and engage with Creator content at their own risk, and Aloportal is not liable for any disputes arising from content consumption. Creators may monetize their content through subscriptions and affiliate programs. Earnings are subject to Aloportal's payment policies, transaction fees, and minimum withdrawal thresholds.

Payouts are processed through third-party payment providers, and Creators are responsible for handling their own tax obligations on earnings. Any illegal, deceptive, explicit, defamatory, or harmful content is strictly prohibited. Aloportal may remove such content without notice and may suspend or terminate accounts that violate these policies.

8. User Data and Analytics

Aloportal collects user cookies, browsing data, and analytics to improve services, enhance user experience, provide security, and personalize content. By using the Platform, Users consent to data collection, tracking, and analytics processing, in accordance with the Platform's Privacy Policy.

The Platform may collect device information, IP addresses, location data, browsing history, content interactions, and purchase activity to optimize performance, provide tailored recommendations, improve security, prevent fraud, and enable targeted marketing.

Aloportal may share anonymized data with third-party analytics providers, advertisers, AI models, and fraud prevention services to enhance Platform operations. However, Aloportal does not sell personally identifiable information without user consent.

Users have control over cookie preferences and may adjust settings via their browser, device, or Platform privacy settings. These controls allow users to manage their privacy according to their preferences while using Aloportal services.

Users also have the right to request data access, correction, or deletion under applicable data protection laws such as GDPR (General Data Protection Regulation) and CCPA (California Consumer Privacy Act). Aloportal is committed to respecting these rights and facilitating such requests.

Aloportal retains collected data for a reasonable period based on operational needs and legal requirements. Cookies may have expiration periods, and analytics data may be stored in anonymized form to improve long-term Platform performance.

The Platform implements security measures, including data encryption, secure access protocols, and compliance with industry standards, to protect user data from unauthorized access, misuse, or breaches.

9. Intellectual Property

All intellectual property contained in this Platform, including but not limited to text, graphics, logos, images, software, source code, algorithms, trademarks, and proprietary features, is owned by or licensed to Aloportal and is protected under the Copyright law, the Trademarks Act, and other applicable intellectual property laws. Users acknowledge that no rights, title, or interest in Aloportal's intellectual property are transferred to them.

10. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or applications, including but not limited to payment processors, advertising networks, social media platforms, and external content providers. These third-party services operate independently of Aloportal and are governed by their own terms, privacy policies, and practices. Aloportal does not control, endorse, or assume any responsibility for the content, availability, security, accuracy, or business practices of these third-party services.

Users acknowledge that their use of third-party services is at their own risk. Aloportal shall not be liable for any loss, damage, or harm resulting from interactions with third-party websites or services, including but not limited to fraud, data breaches, unauthorized charges, or service disruptions. Users are encouraged to review the terms and privacy policies of any third-party services they engage with through the Platform.

Aloportal may integrate with third-party payment processors, cloud storage providers, analytics tools, and social media platforms. While we take precautions to ensure compatibility and security, we do not guarantee the performance, reliability, or uninterrupted operation of these services.

By using third-party services through the Platform, users agree that Aloportal is not responsible for disputes, fees, transaction failures, refunds, chargebacks, data collection practices, or any legal or regulatory issues associated with third-party providers. Any issues arising from these services must be resolved directly with the respective third-party provider.

Aloportal reserves the right to modify, remove, or restrict access to third-party integrations at any time for legal, business, or security reasons. The inclusion of third-party links or services does not imply an endorsement or partnership between Aloportal and the respective third party.

11. Payment Processing

Aloportal uses third-party payment processors, including but not limited to Stripe, PayPal, and other financial service providers, to facilitate transactions on the Platform. By using our services, Users and Creators agree to comply with the terms, conditions, and policies of these payment processors, which govern transaction processing, account verification, security measures, fraud prevention, and dispute resolution.

Aloportal does not process payments directly and does not store or manage payment credentials, such as credit card or banking details. All transactions are securely handled through third-party providers, and Users acknowledge that Aloportal is not responsible for any payment failures, unauthorized transactions, delays, withheld funds, or service disruptions caused by third-party processors.

Users are solely responsible for managing their accounts, including handling refunds, chargebacks, disputes, and tax compliance. Any financial issues or disagreements related to transactions, refunds, or payment processing failures must be resolved directly with the relevant payment provider. Aloportal does not mediate disputes between Users, Creators, and payment processors.

Creators acknowledge that payouts are subject to the payment processor's policies, including processing times, transaction fees, payout thresholds, and withholding requirements. Aloportal is not liable for any delays, reversals, or restrictions placed on Creator payouts by third-party services.

Users and Creators are responsible for ensuring that all transactions comply with applicable financial regulations, anti-money laundering (AML) laws, tax reporting obligations, and other legal requirements in their jurisdiction. Aloportal reserves the right to suspend or restrict transactions if fraudulent, illegal, or suspicious activity is detected.

Aloportal may update, change, or replace its payment processing partners at any time, and continued use of the Platform after such changes constitutes acceptance of the updated terms. For further details on payment processing, please refer to the respective payment provider's terms of service.

12. Liability

Our website, application, and materials are provided on an "as is" and "as available" basis, without any warranties or representations of any kind, either express or implied. To the extent permitted by law, Aloportal makes no warranties, expressed or implied, and disclaims all warranties including, but not limited to, implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement of intellectual property, security, reliability, availability, accuracy, or uninterrupted access.

Aloportal shall not be liable for any direct, indirect, incidental, special, punitive, or consequential loss suffered by you or any third party arising from the use or inability to use our Platform, errors, interruptions, security breaches, service failures, or unauthorized access to data. "Consequential loss" includes, but is not limited to, indirect loss, real or anticipated loss of profit, revenue, business, goodwill, opportunity, savings, reputation, or data, even if Aloportal has been advised of the possibility of such damages.

Aloportal does not assume any liability for losses caused by third-party services, including payment processors, hosting providers, integrations, or external content sources. Users acknowledge that they access and use third-party services at their own risk and that Aloportal is not responsible for disruptions, failures, or security breaches related to such services.

Aloportal shall not be responsible for any data loss, account suspension, termination, unauthorized access, cyber-attacks, or data breaches affecting Users, Creators, or third parties. Users and Creators are responsible for implementing their own security measures, maintaining backup copies of their content, and securing their accounts.

To the fullest extent permitted by applicable law, Aloportal's total liability under any claim, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the amount paid by the User or Creator to Aloportal in the six (6) months prior to the claim arising. If no payment was made to Aloportal, liability shall be limited to CAD $100 or the minimum amount allowed by law.

Some jurisdictions do not allow limitations on implied warranties or liability exclusions for consequential or incidental damages, so these limitations may not apply to you. In such cases, Aloportal's liability will be limited to the maximum extent permitted by applicable law.

Users agree to indemnify and hold Aloportal harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from violations of these Terms, misuse of the Platform, breach of intellectual property rights, or disputes with third parties. Aloportal reserves the right to defend itself against any claim and to recover costs from Users responsible for violations.

This limitation of liability survives termination or suspension of the User's account and continues in full force thereafter.

13. Right to Terminate

Aloportal reserves the right to suspend, restrict, or terminate your access to the Platform at any time, with or without prior notice, for any reason, including but not limited to violations of these Terms of Service, Privacy Policy, or any other applicable policies:

Termination may result in immediate revocation of access, removal of content, deletion of your account, and forfeiture of any outstanding balances, unpaid earnings, or subscriptions. If your account is terminated for a violation, you may not be eligible for a refund or reimbursement of any fees paid to Aloportal or to Creators. Aloportal reserves the right to investigate any suspected violations and may take legal action where necessary.

Aloportal also retains the authority to terminate accounts without cause, at its sole discretion, for business, legal, or operational reasons. We may implement temporary suspensions or restrictions as intermediate measures before permanent termination, depending on the severity and frequency of violations or other relevant factors affecting Platform operations.

Users may request account termination by contacting inquiry@aloscale.com, but certain data may be retained in compliance with applicable laws and regulatory requirements. User-initiated termination does not automatically entitle you to refunds for any prepaid services or subscriptions, and processing of such requests may be subject to verification procedures and processing times.

Termination of your account does not release you from any obligations incurred before termination or arising after termination during your usage, and any provisions of these Terms that, by their nature, should survive termination shall continue in effect without prejudice to Aloportal's rights to enforce any claims, recover outstanding amounts, or seek legal remedies for past violations.

14. Disclaimers

Aloportal provides its Platform, services, and content on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, error-free, or free of harmful components such as viruses, malware, or unauthorized third-party interference.

Aloportal does not warrant that the Platform will function without delays, disruptions, security vulnerabilities, or loss of data, and we are not responsible for system outages, scheduled maintenance, or unforeseen technical issues that may affect availability.

We are not responsible for the actions, omissions, or content of Users, Creators, affiliates, or third parties who interact with or distribute content through the Platform. This includes, but is not limited to, misleading, false, offensive, illegal, or harmful content posted by Users or Creators. Users acknowledge that they access and interact with content at their own risk.

Aloportal disclaims all liability for any financial losses, lost profits, reputational harm, or damages arising from the use or inability to use the Platform, including transactions processed through third-party services.

We do not endorse, verify, or assume responsibility for third-party services integrated with the Platform, including payment processors, advertisers, social media networks, or external links. Users engaging with third-party services do so at their own risk and are bound by those providers' terms and conditions.

Aloportal does not provide professional, legal, financial, or tax advice, and Users should consult qualified professionals for such matters before making decisions based on information obtained from the Platform.

To the fullest extent permitted by law, Aloportal disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability of content.

Some jurisdictions do not allow disclaimers of certain warranties, so portions of this section may not apply to you. In such cases, Aloportal's liability shall be limited to the maximum extent permitted by applicable law.

15. Accuracy of Materials

The materials on our Platform are provided for general informational purposes only and should not be relied upon as professional, financial, legal, medical, or other specialized advice. Aloportal does not warrant or guarantee the accuracy, completeness, reliability, or timeliness of any content available on the Platform. Content may be outdated, incorrect, or subject to change without notice. Aloportal assumes no responsibility for errors, omissions, or misinterpretations of information provided on the Platform, whether created by Aloportal, Users, or third parties.

Aloportal does not review, verify, or fact-check all User-generated content, and we do not guarantee its authenticity. Users and Creators are responsible for ensuring that their content complies with applicable laws, accuracy standards, and intellectual property rights. Where the Platform contains links to third-party sites or sources, Aloportal makes no representations or warranties regarding the accuracy or reliability of third-party information. Users engaging with external content do so at their own discretion and risk.

Users acknowledge that any decisions or actions taken based on Platform content are made at their own risk. Aloportal is not responsible for any losses, damages, or negative consequences resulting from reliance on Platform materials. Some jurisdictions do not allow disclaimers of accuracy or completeness, so portions of this section may not apply to you. In such cases, Aloportal's responsibility for content accuracy shall be limited to the fullest extent permitted by applicable law.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified, interpreted, or replaced to the extent necessary to make it enforceable while maintaining the original intent as closely as possible.

If modification is not possible, the unenforceable provision shall be severed from these Terms, and the remaining provisions shall not be affected. Failure by Aloportal to enforce any provision of these Terms shall not be construed as a waiver of its right to enforce such provisions at a later time.

This Severability clause applies to the fullest extent permitted by applicable law and ensures that these Terms remain valid and enforceable despite any legal inconsistencies. Aloportal reserves the right to replace invalid provisions with alternative terms that maintain the original purpose and intent to the maximum extent allowed by law.

17. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Quebec, Canada, for the resolution of any disputes arising from these Terms or your use of the Platform.

If you access the Platform from outside Canada, you are responsible for compliance with your local laws. Aloportal makes no representations that the Platform is appropriate or available for use in other jurisdictions, and accessing it from locations where its content or services are restricted or illegal is prohibited.

Any dispute, claim, or controversy arising out of or relating to these Terms, including their interpretation, breach, termination, or validity, shall first be attempted to be resolved through good-faith negotiations. If a resolution cannot be reached, parties agree to binding arbitration in accordance with the applicable arbitration laws of Canada, except where prohibited by law.

Nothing in this section limits Aloportal's right to seek injunctive relief or legal remedies in any jurisdiction where unauthorized use of the Platform or violations of intellectual property rights occur. If any part of this Governing Law provision is found unenforceable, the remainder shall continue in full force and effect.

18. Consent to Electronic Communications

By using Aloportal, you consent to receive electronic communications from us, including but not limited to agreements, notices, disclosures, promotional materials, security alerts, and updates related to your use of the Platform. These communications may be sent via email, in-app notifications, SMS, or other digital channels associated with your account.

You acknowledge that electronic communications satisfy any legal requirement that such communications be in writing. If you wish to opt out of receiving promotional emails, you may do so by following the unsubscribe instructions provided in our communications. However, certain transactional or legally required notices (such as account updates, policy changes, or security alerts) cannot be opted out of as they are necessary for the use of the Platform.

It is your responsibility to maintain accurate contact information and ensure that our emails or messages are not filtered by spam blockers. If you fail to receive important communications due to incorrect information or technical issues, Aloportal shall not be liable for any resulting consequences.

Aloportal reserves the right to modify the methods and frequency of electronic communications as needed. If you do not agree to these terms, you must discontinue use of the Platform immediately.

20. Attribution of Rights

Aloportal reserves the right to assign, transfer, or delegate its rights and obligations under these Terms to a third party in the event of a merger, acquisition, corporate restructuring, sale of assets, or other business transaction without prior notice or consent from Users or Creators. Any such transfer shall be binding on Users and Creators, and Aloportal's obligations under these Terms shall be assumed by the successor entity.

Users and Creators may not transfer, assign, or delegate their rights or obligations under these Terms without prior written consent from Aloportal. Any attempted assignment in violation of this provision shall be null and void. Aloportal is not obligated to provide prior notification of such transfers but will make reasonable efforts to update Users if a change in ownership materially impacts the operation of the Platform.

These Terms shall continue to be enforceable and remain in full effect regardless of any change in ownership or control of Aloportal. If you do not agree with a future transfer of rights, your sole remedy is to discontinue use of the Platform.

22. Additional Terms

Your use of Aloportal may be subject to additional terms, policies, or guidelines that apply to specific services, features, or promotional programs. These additional terms will be posted accordingly and are incorporated by reference into these Terms of Service. By continuing to use the Platform, you agree to comply with any such additional terms. If there is a conflict between these Terms of Service and any additional terms for a specific service, the additional terms shall govern in relation to that service.

These additional terms may cover, but are not limited to:

Aloportal reserves the right to update, modify, or discontinue any additional terms at its sole discretion. Any changes will become effective upon posting, and continued use of the affected service constitutes acceptance of the updated terms.

If you do not agree to any additional terms that apply to a particular service or feature, your sole remedy is to discontinue use of that service while continuing to adhere to the general Terms of Service.

23. Miscellaneous

These Terms, along with our Privacy Policy, Community Guidelines, Content Policies, and any other legal notices or additional terms, constitute the entire agreement between you and Aloportal regarding the use of the Platform. They supersede any prior agreements, understandings, or representations, whether written or oral, relating to your use of the Platform.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be reinterpreted or replaced to reflect the original intent while maintaining enforceability.

No waiver of any term or condition in these Terms shall be considered a further or continuing waiver of that term or condition or any other provision. Aloportal’s failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Aloportal shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor strikes, technical failures, cybersecurity breaches, or network outages.

These Terms do not create any partnership, joint venture, employment, or agency relationship between Aloportal and any User or Creator. You may not assign or transfer your rights and obligations under these Terms without prior written consent from Aloportal. However, Aloportal may freely assign or transfer its rights and obligations in the event of a merger, acquisition, corporate restructuring, or sale of assets.

These Terms shall continue to apply even after termination or suspension of your account or access to the Platform. Any provisions that, by their nature, should survive termination (including but not limited to liability disclaimers, indemnifications, and intellectual property rights) shall remain in effect.
